The bulk of most people's wealth is invested in listed shares, either directly or through pension or investment funds.  However, most of the economic activity in the UK is generated by small and medium sized companies (SMEs).  Fast growing SMEs form the core of BC Capital's client base, and from time to time they need expansion finance.
BC Capital's Investor Club exists to provide its members with opportunities to invest in growing SMEs, usually based in the South East (including London).  These companies are private, although they probably have an aspiration to IPO in 3-5 years, or to be bought by a larger and / or quoted enterprise.
The advantage of investing in SMEs is that the additional funds invested are likely to have a disproportionate effect on the future value of the company.  Very high returns on investment are therefore possible.  Of course, there are also much higher risks of company failure than there are in a listed company, and while these can be mitigated by EIS relief, there is still a significant risk of a total loss.
Almost all of the investment opportunities that we have will be tax efficient, as they will qualify under the Enterprise Investment Scheme (EIS).  In summary the tax benefits are:
The initial investment obtains income tax relief.
The investment is free from Capital Gains tax and Inheritance tax, subject to being held for a minimum period.
If the company in which you invested fails to make a return on your investment there is further income tax relief available on your loss.

 
You may usually invest up to £400,000 under the EIS scheme every year.
Typically our Investor Club members will invest as an informal syndicate, contributing individual investments of £20,000 to £200,000 plus as part of a financing round of £500,000 to over £1,000,000.  BC Capital aims to produce at least one such investment opportunity per month.
Because of the higher risk associated with investments in SMEs, the Investor Club is only open to Sophisticated Investors or Certified High Net Worth Individuals, as defined by the Financial Services and Markets Act 2000.

We welcome new investors looking to invest in early stage ventures. 
We recognise that our Investor Club members are successful people - many will therefore have busy schedules and will not want to waste time on ill-conceived proposals.
 To take account of this we screen companies approaching us to ensure that the client investee companies that we introduce are only those that are considered to be quality candidates which have undergone an investment readiness process.
We offer investors screened investment opportunities as well as regular events where investors can meet companies presenting their investment opportunities.
Membership Criteria
Because investment in new business carries high risks as well as the possibility of high rewards, BC Capital's Investor Club can only accept members who fall into one of the following classes of certified investors as defined by the Financial Services and Markets Act 2000 ("FSMA"):
a.      Sophisticated Investor: An individual who has been self certified to meet the Financials Services Authority (FSA) requirements as being sufficiently knowledgeable to understand the risks asssociated with investing in unquoted companies, or,
b.      High Net Worth Individual: An individual with either (a) an income not les than £100,000 per year or (b) net assets to the value of £250,000 throughout the financial year preceding the date the certificate is signed<, or,
c.      Investment Professional: An individual or firm authorised by the FSA or a person to whom, under the FSMA 2000, the general prohibition does not apply.
